Excellion Capital advises on the sale of Von Roll Transformers (Israel) to Valtegra

February 2016

Excellion Capital is pleased to announce that in February 2016 it successfully advised International Transformer AG on its sale of Von Roll Transformers Ltd., Israel (VRT) to VALTEGRA, a private equity firm specialised in turnaround situations and long-term value creation.

VRT, a company with c. $50 million in annual revenues and some 220 employees, is Israel’s market leader in the design, manufacture and distribution of electrical transformers and infrastructure equipment. With customers in the USA, Canada, Europe, Africa and Israel, VRT offers power transformers, distribution transformers, mobile substations, and rectifier transformers, which are used in the generation, transmission and distribution of electricity. Based in Ramat Hasharon and founded in 1948, VRT is one of Israel’s oldest companies. Pursuant to the sale, VRT now operates as a wholly-owned subsidiary of VALTEGRA Fund I.

Glen Robinson, Partner at VALTEGRA, said:
“This transaction reflects our ambition to make strategic, value-enhancing acquisitions. VALTEGRA stepped in to acquire and support VRT at a time when it faces both opportunities and challenges. We see significant potential to make meaningful operational changes to transform the company and continue creating market leading products for VRT’s top-quality customer base.”

Robert Stafler, Chief Executive of Excellion Capital, said:
“We successfully delivered a complex transaction. In times where VRT and its industry faced significant challenges, we carefully designed a transaction that met all sides’ objectives. Applying considerable skill and effort, our team worked closely with the vendor, VALTEGRA, VRT management, its unionised workforce, local and international banks, suppliers as well as customers across the globe. The resulting transaction maximised value to all sides while securing the continuity of one of Israel’s oldest companies. We look forward to seeing VRT succeed under VALTEGRA’s stewardship, so VRT can continue to deliver its top-quality products to its global customer base, as it has done for the past 67 years.”
